Stonebridge Associates Advises JohnsonDiversey
on the Sale of its Auto-Chlor Division

BOSTON, Massachusetts—July 8, 2008—Stonebridge Associates, a leading provider of investment banking services to privately held and family-owned businesses, served as the exclusive financial advisor to JohnsonDiversey in the sale of its Auto-Chlor division to its largest franchisee, Auto-Chlor System, LLC.

This transaction represents the second divestiture in which Stonebridge Associates was retained by JohnsonDiversey. During this engagement, Stonebridge reviewed strategic options, provided valuation services, and helped negotiate, structure, and execute the divestiture transaction. The transaction amount has not been disclosed.
